Terms of Service

1. ABOUT THESE TERMS

These Terms of Service (“Terms”) are a legal agreement between you and Matthew Scafetta, carrying on business as SemCal, an Ontario sole proprietorship (“SemCal,” “we,” “us,” or “our”).

These Terms govern your access to and use of the SemCal website, web application, and related services, including account creation, course-outline processing, calendar-event review, ICS downloads, Google Calendar exports, and paid subscriptions. We refer to these collectively as the “Service.”

By creating an account, clicking to accept these Terms, purchasing a subscription, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, do not create an account, purchase a subscription, or use the Service.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. The Privacy Policy is incorporated into these Terms by reference.

Certain features may also be subject to additional terms presented to you when you use or purchase them. Transaction-specific details shown at checkout, including the selected plan, price, currency, billing frequency, and applicable taxes, form part of your agreement with SemCal.

If transaction-specific details conflict with these Terms, those details control only for that specific transaction and only to the extent of the conflict.

2. ELIGIBILITY

You must be at least 16 years old to use SemCal.

If you are under the age of majority where you live, you may use SemCal only with the permission of a parent or legal guardian. Your parent or legal guardian must review these Terms and accept responsibility for any paid subscription or other legal obligation entered into on your behalf.

You represent that:

• you meet the age requirements above;
• you are legally permitted to use the Service;
• the information you provide is accurate and complete; and
• you are not prohibited from using the Service under applicable law.

If you use SemCal on behalf of an organization, school, employer, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” includes both you and that entity.

2.1 Paid subscription availability

SemCal Pro is currently offered only to individuals whose primary residence is in:

• Canada, excluding Québec; or
• the United States.

SemCal Pro is not currently offered to residents of Québec, the European Economic Area, the United Kingdom, or any other jurisdiction unless SemCal expressly announces availability there.

By purchasing SemCal Pro, you represent that your primary residence is in an eligible jurisdiction. The fact that semcal.app can be viewed or technically accessed from another jurisdiction does not mean that SemCal Pro is offered there.

SemCal may decline or cancel an ineligible subscription. Any refund associated with such a cancellation will be handled under Section 11 and applicable law.

3. THE SEMCAL SERVICE

SemCal is a course-organization tool designed to help users:

• upload a PDF, PNG, or JPEG course outline or syllabus;
• identify possible dates, deadlines, exams, assignments, and other events;
• review, edit, add, or remove proposed events;
• download reviewed events as an ICS calendar file; and
• copy reviewed events to a new secondary Google Calendar when authorized.

The current launch version is a converter, not a permanent course-management, learning-management, or calendar-synchronization platform.

Features may vary by account, plan, device, browser, region, or provider availability.

4. IMPORTANT ACCURACY WARNING

SemCal uses automated processing, including artificial intelligence, to interpret course outlines.

Automated extraction can be wrong, incomplete, delayed, duplicated, or misinterpreted. Errors may include:

• missing assignments, exams, or deadlines;
• incorrect dates or times;
• incorrect time zones;
• incorrect recurrence rules;
• incorrect course names or descriptions;
• incorrect all-day or timed-event treatment; and
• incorrect interpretation of ambiguous language.

You are responsible for reviewing every proposed event before downloading or exporting it.

SemCal is not an official source of academic information. Your official course outline, learning-management system, registrar, instructor, teaching assistant, school communications, and institutional policies remain authoritative.

You are responsible for checking those official sources for:

• schedule changes;
• deadline extensions;
• room or location changes;
• examination details;
• grading requirements;
• institutional closures; and
• other course information.

SemCal does not guarantee that it will identify every event or that any generated calendar will remain current after it is created.

You should not rely on SemCal as your only reminder system or as a substitute for official academic records.

To the maximum extent permitted by law, SemCal is not responsible for a missed deadline, missed examination, academic penalty, lost mark, scheduling conflict, or similar consequence resulting from unreviewed, incorrect, incomplete, or outdated calendar information.

5. ACCOUNTS AND ACCOUNT SECURITY

You may need a SemCal account to use some or all of the Service.

You agree to:

• provide accurate account information;
• keep your account information current;
• protect your password and authentication methods;
• use reasonable security precautions;
• promptly notify us of suspected unauthorized access; and
• accept responsibility for activity performed through your account unless applicable law provides otherwise.

You may not:

• share an account with multiple unrelated users;
• sell, transfer, lease, or sublicense an account;
• create accounts to evade usage limits or enforcement actions;
• impersonate another person;
• use another person’s account without authorization; or
• allow another person to use your account to circumvent their own limits.

SemCal may require you to verify control of your account email address before providing support, changing sensitive account information, or processing an account-access or deletion request.

Contact support@semcal.app promptly if you believe your account has been compromised.

6. USER CONTENT

“User Content” means information you submit to or process through SemCal, including:

• uploaded course outlines and syllabi;
• document text and images;
• filenames;
• proposed and edited calendar events;
• calendar names;
• support messages; and
• other material you provide.

You retain ownership of your User Content and any intellectual-property rights you hold in it.

You grant SemCal a limited, non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process, reproduce, format, and modify User Content only as reasonably necessary to:

• provide the Service;
• perform automated extraction;
• generate event drafts and calendar files;
• complete an authorized Google Calendar export;
• maintain security and reliability;
• respond to support or privacy requests; and
• comply with applicable law.

This licence includes the limited right to provide User Content to service providers that process it on SemCal’s behalf, as described in the Privacy Policy.

The licence ends when the User Content is no longer needed for those purposes, subject to temporary backups, legal obligations, security requirements, dispute resolution, and the retention practices described in the Privacy Policy.

SemCal does not acquire ownership of your course outline or calendar information merely because you use the Service.

You represent that:

• you own the User Content or have permission to use and process it;
• your submission does not violate another person’s rights;
• your submission does not violate a confidentiality obligation;
• your submission is lawful; and
• your submission does not contain malware or harmful code.

Course outlines may belong to an instructor, school, publisher, or another rights holder. SemCal gives you no additional rights in material owned by someone else.

Please avoid submitting unnecessary sensitive information, including student numbers, government identifiers, financial information, health information, passwords, or information about another person that is not needed to create calendar events.

7. AUTOMATED EXTRACTION AND ARTIFICIAL INTELLIGENCE

SemCal may use third-party artificial-intelligence services, including OpenAI, to analyze course outlines and propose structured calendar information.

The resulting output is machine-generated and may not be accurate.

You understand that:

• the output is a suggestion for your review;
• SemCal does not guarantee its completeness or correctness;
• similar documents may produce different results;
• provider availability or safety systems may prevent processing;
• a document may be rejected if it exceeds technical or safety limits; and
• you must review the output before using it.

SemCal does not authorize you to use the Service to violate academic-integrity rules, intellectual-property rights, privacy rights, or institutional policies.

Information about how course-outline content is handled is provided in the Privacy Policy.

8. CALENDAR FILES AND GOOGLE CALENDAR

8.1 ICS downloads

SemCal may allow you to generate an ICS file from reviewed events.

Calendar applications may interpret imported files differently. You are responsible for confirming that imported dates, time zones, recurrence rules, alerts, and event details appear correctly in your chosen calendar application.

SemCal does not control Apple Calendar, Microsoft Outlook, Google Calendar, or another application into which you import an ICS file.

8.2 Google Sign-In

Google Sign-In is an optional way to authenticate your SemCal account.

Signing in with Google is separate from granting Google Calendar permission. Using Google Sign-In alone does not authorize SemCal to access or modify your Google Calendar.

8.3 Google Calendar exports

When you choose to copy reviewed events to Google Calendar, SemCal requests a limited Google Calendar authorization and creates a new secondary calendar.

The export is a one-time copy. SemCal does not provide continuous synchronization.

After an export:

• later edits in SemCal do not automatically update Google Calendar;
• later changes in Google Calendar do not automatically update SemCal;
• deleting a SemCal draft or account does not delete the Google calendar;
• revoking SemCal’s Google access does not necessarily delete calendars or events already created;
• you are responsible for managing the exported calendar through Google; and
• intentionally exporting again may create another calendar or another set of events.

SemCal cannot guarantee that Google will accept, preserve, display, or continue to support an exported calendar or event.

Your use of Google services is also governed by Google’s applicable terms, policies, and account rules.

9. FREE AND PRO PLANS

9.1 Free plan

The current Free plan includes up to 2 course-outline extraction units total per SemCal account.

This is a one-time allowance and does not renew each month.

Unused Free units remain available while the account and feature remain available, subject to future changes made in accordance with these Terms.

You may not create additional accounts to obtain additional Free allowances.

9.2 SemCal Pro

The current SemCal Pro plan includes up to 20 course-outline extraction units per SemCal profile per UTC calendar month.

SemCal Pro is currently offered for:

US$4.99 per month, plus applicable taxes.

SemCal Pro:

• is billed monthly;
• has no free trial;
• continues until cancelled;
• is intended for one individual account; and
• provides access to the Pro allowance and features described at checkout.

The exact plan, price, currency, payment frequency, and taxes displayed to you before purchase form part of your subscription agreement.

9.3 Usage periods and extraction units

Pro usage periods follow UTC calendar months, not necessarily your local time zone or subscription billing date.

The Free allowance does not have a monthly reset. Free units do not automatically replenish.

Unused Pro units do not roll over into a later month.

An extraction unit is counted when SemCal admits an outline for provider-backed processing.

Closing the page, cancelling after processing begins, deleting the result, receiving an error after provider work begins, or deciding not to use the output does not automatically restore the extraction unit.

SemCal may restore an extraction unit for a verified service failure at its discretion or where required by law.

Reviewing or editing an existing result, generating an ICS file from that result, or exporting an already-reviewed result does not itself consume another course-outline extraction unit.

Free extractions used during the same UTC month before upgrading count toward the 20-unit Pro allowance for that month.

Pro usage does not consume unused one-time Free units.

After Pro ends, unused one-time Free units remain available, while Free units already used are not restored.

You may not create additional accounts or use automation to evade a usage limit.

10. SUBSCRIPTIONS, PAYMENT, AND TAXES

10.1 Recurring authorization

By purchasing SemCal Pro, you authorize SemCal and Stripe to charge your selected payment method US$4.99, plus applicable taxes, on a recurring monthly basis until the subscription is cancelled or otherwise ends.

Your first billing period begins when the subscription is successfully created.

Future charges ordinarily occur on the corresponding monthly billing date. Billing dates may vary because of month length, payment failures, provider processing, or changes permitted by applicable law.

10.2 Stripe

Stripe processes SemCal subscription payments.

You may be required to provide payment, billing, tax, and identity information directly to Stripe. Stripe handles this information under its own terms and privacy policy.

SemCal does not store your complete payment-card number or card security code.

10.3 Currency

SemCal Pro is priced in United States dollars unless the checkout page expressly states otherwise.

Your bank, payment provider, or card issuer may convert the charge into another currency and may impose exchange-rate adjustments, foreign-transaction fees, or other charges. Those charges are controlled by your provider, not SemCal.

10.4 Taxes

Applicable sales, use, value-added, goods-and-services, harmonized-sales, or similar taxes may be added at checkout.

You are responsible for taxes associated with your purchase except taxes imposed on SemCal’s income.

10.5 Failed payments

If a payment fails, Stripe or SemCal may retry the charge, ask you to update your payment method, mark the subscription past due or unpaid, limit paid features, or end the subscription.

You remain responsible for valid charges incurred before cancellation or termination, subject to applicable law.

SemCal will not charge a separate late fee unless that fee was clearly disclosed before it was incurred and is permitted by law.

11. CANCELLATION AND REFUNDS

11.1 Cancelling SemCal Pro

You may schedule cancellation through the Stripe-hosted customer portal or by contacting support@semcal.app.

Ordinary cancellation takes effect at the end of the current paid billing period.

Until then, you may continue using Pro features, subject to these Terms and the applicable usage limit.

After the paid period ends, your account ordinarily returns to the Free plan.

To avoid a future charge, cancellation must be completed before the next billing charge is processed.

11.2 Account deletion is separate

Cancelling SemCal Pro does not delete your SemCal account.

Deleting or closing your SemCal account is also not automatically the same as cancelling a subscription.

To prevent future charges, use the customer portal or contact support before closing your account.

When processing a verified account-closure request, SemCal will take reasonable steps to identify and address an associated subscription, but authentication, subscription cancellation, account deletion, and provider-held billing records are separate operations.

11.3 Refunds

Except where required by applicable law:

• subscription payments are non-refundable;
• SemCal does not provide credits or prorated refunds for unused time;
• unused extraction units have no cash value;
• cancelling before the end of a billing period does not create a refund; and
• account deletion does not automatically create a refund.

SemCal may provide a refund or credit at its discretion, including for a verified duplicate charge, incorrect charge, or material billing error.

Nothing in this section limits a refund, cooling-off, cancellation, chargeback, withdrawal, or other consumer right that cannot lawfully be waived.

11.4 Consumer cooling-off and withdrawal rights

You may have additional cancellation or withdrawal rights based on where you live.

For example, certain consumers in the European Economic Area or United Kingdom may have a statutory period in which they can withdraw from an online services contract.

Where applicable law requires it:

• SemCal will honour the applicable withdrawal period;
• the no-refund language above will not override that right;
• you may be responsible for a proportionate amount for service already supplied after you expressly requested immediate performance, where the law permits; and
• any required refund will be processed within the legally required period.

To exercise a statutory withdrawal or cancellation right, contact support@semcal.app and identify the account and subscription involved.

11.5 Price changes

SemCal may change the Pro price for future billing periods.

A price change will not retroactively alter a period you have already paid for.

For an existing subscription, we will provide advance notice required by applicable law before a new price takes effect. You may cancel before the new price applies.

12. PRIVACY

SemCal’s collection, use, disclosure, retention, and protection of personal information are described in the Privacy Policy.

By using the Service, you acknowledge that SemCal and its service providers will process information as described there.

The Privacy Policy does not create a waiver of rights provided by applicable privacy or consumer-protection law.

13. ACCEPTABLE USE

You may use SemCal only for lawful personal, educational, or authorized organizational purposes.

You may not:

• use the Service in violation of law or another person’s rights;
• upload content you are not permitted to process;
• upload malware, malicious code, or intentionally corrupted files;
• attempt to gain unauthorized access to an account, database, system, or provider;
• probe, scan, or test security controls without written permission;
• bypass authentication, rate limits, usage limits, or technical restrictions;
• create deceptive, fraudulent, or impersonating accounts;
• scrape or extract data through automated means except as expressly permitted;
• overload, disrupt, damage, or interfere with the Service;
• reverse engineer, decompile, or attempt to obtain source code except where applicable law expressly permits it;
• reproduce, resell, sublicense, or offer SemCal as your own service;
• use SemCal to create or distribute unlawful, infringing, or harmful material;
• use SemCal to violate academic-integrity or institutional rules;
• use the Service to collect credentials or personal information deceptively;
• use the Service in a safety-critical system; or
• encourage or assist another person to do any of these things.

SemCal may investigate suspected misuse and may preserve or disclose limited information where reasonably necessary and legally permitted to protect the Service, users, providers, or the public.

14. SEMCAL INTELLECTUAL PROPERTY

Except for User Content and third-party material, SemCal owns or licenses the Service, including its:

• software;
• source code;
• user interface;
• visual design;
• text;
• graphics;
• branding;
• trademarks;
• logos;
• documentation; and
• underlying technology.

Subject to these Terms, SemCal grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service for its intended purpose.

This licence does not transfer ownership of the Service or permit commercial resale.

“SemCal,” the SemCal logo, and related branding may not be used without written permission except where applicable law permits nominative reference.

15. FEEDBACK

You may voluntarily send suggestions, ideas, or feedback about SemCal.

You grant SemCal a worldwide, perpetual, irrevocable, royalty-free, non-exclusive licence to use, modify, reproduce, and incorporate that feedback into the Service without compensation or attribution.

This section does not give SemCal ownership of your course outlines, calendar events, support requests, or other User Content merely because they contain feedback about an error.

16. THIRD-PARTY SERVICES

SemCal relies on third-party products and infrastructure, which may include Supabase, Vercel, Render, OpenAI, Google, Stripe, email providers, domain providers, and internet-service providers.

Those services are governed by their own terms, privacy policies, availability, and technical limits.

SemCal is not responsible for:

• a third party’s independent acts or omissions;
• changes to a third-party service;
• suspension or termination of your third-party account;
• content stored in your Google account;
• payment-card or banking decisions made by Stripe or your financial institution;
• third-party outages;
• changes to API availability or permissions; or
• a third-party application’s interpretation of an ICS file.

This section does not limit any responsibility SemCal has for choosing and managing its service providers under applicable law.

17. SERVICE AVAILABILITY AND CHANGES

SemCal does not promise uninterrupted, error-free, or permanently available service.

The Service may be unavailable because of:

• maintenance;
• upgrades;
• provider outages;
• internet or power failures;
• security incidents;
• software defects;
• capacity limits;
• legal requirements; or
• events outside SemCal’s reasonable control.

SemCal may modify, add, limit, suspend, or discontinue features.

Where a change materially affects an active paid subscription, SemCal will provide any notice or remedy required by applicable law.

SemCal does not guarantee a particular service-level agreement, uptime percentage, response time, or support-response time unless a separate written agreement expressly says otherwise.

18. SUSPENSION AND TERMINATION

18.1 Suspension or termination by SemCal

SemCal may suspend, restrict, or terminate access where reasonably necessary because of:

• a material or repeated breach of these Terms;
• suspected fraud or unauthorized access;
• a security risk;
• abusive or unlawful conduct;
• non-payment;
• a provider restriction;
• a legal requirement; or
• a threat to the Service or another user.

Where reasonably practicable, SemCal will provide notice and an opportunity to correct the issue. Immediate action may be taken where delay could create harm, security risk, fraud, or legal exposure.

18.2 Ending your use

You may stop using the Service at any time.

You may cancel a paid subscription as described in Section 11.

You may request account closure or deletion as described in the Privacy Policy.

18.3 Effect of termination

When an account is terminated:

• your right to use the Service ends;
• access to paid features may end;
• temporary drafts or export records may be deleted;
• amounts already validly due remain payable;
• third-party copies, such as Google calendars, remain under the third party’s control; and
• information may be retained where described in the Privacy Policy or required by law.

Sections that by their nature should continue after termination remain in effect, including sections concerning ownership, payment obligations, warranty disclaimers, liability, disputes, and general legal terms.

19. DISCLAIMERS

This section applies only to the maximum extent permitted by applicable law.

The Service is provided on an “as is” and “as available” basis.

SemCal does not represent or warrant that:

• the Service will always be available;
• extraction output will be accurate or complete;
• every course event will be identified;
• a calendar export will succeed;
• third-party services will remain available;
• the Service will meet every user’s needs;
• defects will always be corrected; or
• the Service will be free from every harmful component or security risk.

SemCal disclaims implied warranties to the extent they may lawfully be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing in these Terms excludes an express or implied warranty, condition, guarantee, or consumer remedy that applicable law does not permit SemCal to exclude.

20. LIMITATION OF LIABILITY

This section applies only to the maximum extent permitted by applicable law.

SemCal and its proprietor, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, opportunity, goodwill, data, academic standing, or anticipated savings, arising from or related to the Service.

Without limiting the accuracy warning in Section 4, this includes claims arising from:

• a missed or incorrect academic deadline;
• an incorrect date, time, or recurrence;
• failure to review generated events;
• an unavailable third-party service;
• a failed or duplicated calendar import;
• loss of a browser-held draft; or
• an account or device used without authorization.

To the maximum extent permitted by law, SemCal’s total aggregate liability for all claims arising from or related to the Service will not exceed the greater of:

• the amount you paid SemCal during the 12 months immediately before the event giving rise to the claim; and
• CAD $100.

The exclusions and limits above do not apply to liability that cannot legally be excluded or limited, which may include liability for fraud, wilful misconduct, certain grossly negligent conduct, death or personal injury caused by negligence, or a non-waivable statutory consumer right.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, this section applies only to the extent permitted by law.

21. LIMITED INDEMNITY

To the maximum extent permitted by law, you agree to defend and indemnify SemCal against a third-party claim, damage, or reasonable cost arising directly from:

• User Content you were not legally permitted to submit;
• your intentional misuse of the Service;
• your fraudulent conduct;
• your infringement of another person’s intellectual-property or privacy rights; or
• your material violation of these Terms.

This obligation does not apply to the extent a claim was caused by SemCal’s own breach, negligence, wilful misconduct, or violation of law.

SemCal will provide reasonable notice of an indemnified claim and will not settle a claim in a way that imposes a non-monetary obligation or admission on you without your consent, which will not be unreasonably withheld.

22. GOVERNING LAW, DISPUTES, AND CONSUMER RIGHTS

22.1 Informal resolution

Before starting a formal legal proceeding, you and SemCal agree to make a reasonable effort to resolve the issue informally.

Include your account email, a description of the issue, and the result you are seeking.

Nothing in this section prevents either party from seeking urgent relief, reporting a matter to a regulator, using a small-claims process, or exercising a right that cannot legally be delayed.

22.2 Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.

Subject to mandatory rights described below, disputes may be brought in the courts of Ontario, Canada.

22.3 Mandatory local rights

Nothing in these Terms:

• waives a right that cannot legally be waived;
• prevents you from contacting a consumer-protection or privacy regulator;
• removes a mandatory cooling-off, refund, cancellation, warranty, or withdrawal right;
• requires you to bring a claim only in Ontario where the law of your home jurisdiction gives you a non-waivable right to bring it elsewhere; or
• limits a remedy that applicable law requires.

If you are a consumer, the mandatory consumer-protection laws of the jurisdiction where you live may apply in addition to Ontario law.

22.4 No mandatory arbitration or class-action waiver

These Terms do not require mandatory private arbitration and do not include a class-action waiver.

The parties may voluntarily agree to mediation or another dispute-resolution method after a dispute arises.

23. CHANGES TO THESE TERMS

SemCal may update these Terms to reflect:

• changes to the Service;
• new features;
• provider changes;
• security improvements;
• legal or regulatory requirements; or
• changes to paid plans.

The updated Terms will state a new “Last updated” date.

For a material change, SemCal will provide reasonable advance notice through the Service, by email, or by another appropriate method where required.

A change will not retroactively remove rights or obligations that arose before its effective date unless applicable law permits and the required agreement is obtained.

Changes to subscription pricing apply only to future billing periods after any required notice.

If applicable law requires your express consent to a change, continued use alone will not substitute for that consent.

If you do not agree to updated Terms, you must stop using the Service and cancel any subscription before the updated terms apply to your next billing period.

24. ELECTRONIC COMMUNICATIONS AND NOTICES

You consent to receive agreements, confirmations, receipts, notices, and other communications electronically, including through the Service and at the email address associated with your account.

You are responsible for keeping that email address current.

Electronic communications satisfy a requirement that a communication be in writing where applicable law permits.

You may save or print these Terms for future reference.

Formal notices to SemCal may be sent to support@semcal.app and to the business mailing address in Section 26.

Privacy requests should be sent to privacy@semcal.app.

25. GENERAL TERMS

25.1 Entire agreement

These Terms, the Privacy Policy, and any transaction-specific terms presented at checkout form the entire agreement between you and SemCal concerning the Service, except where a separate written agreement expressly applies.

25.2 Order of precedence

If documents conflict:

• transaction-specific checkout details control the selected plan, current price, currency, tax, and billing frequency;
• the Privacy Policy controls SemCal’s stated handling of personal information; and
• these Terms control other use of the Service.

25.3 Assignment

You may not assign or transfer these Terms or your account without SemCal’s written permission.

SemCal may assign these Terms as part of a genuine sale, reorganization, financing, or transfer of the business, subject to applicable law and the Privacy Policy.

25.4 Severability

If a provision is found unenforceable, it will be limited or removed only to the minimum extent necessary. The remaining provisions will continue in effect.

25.5 No waiver

A failure to enforce a provision is not a waiver of the right to enforce it later.

25.6 No partnership

These Terms do not create an employment, agency, partnership, joint venture, or fiduciary relationship between you and SemCal.

25.7 Third-party beneficiaries

Except where these Terms expressly state otherwise, no third party has a right to enforce these Terms.

25.8 Headings

Headings are for convenience and do not change the meaning of these Terms.

25.9 Force majeure

SemCal is not responsible for delay or failure caused by circumstances beyond its reasonable control, including widespread internet outages, provider failures, natural disasters, war, civil unrest, labour disruption, government action, or utility failure.

This section does not excuse an obligation that applicable law does not permit SemCal to excuse.
